SencorpWhite and Minerva Associates merger Q&A talking points

Question / Answer

Why did SencorpWhite buy Minerva? / The addition of Minerva creates significant differentiation to address customer demands with an unprecedented solution strength. SencorpWhite acquired Intek mid-2017 to offer White Systems clients powerfully integrated solutions and industry leading software. Over the past 15 months, the staff at Intek has doubled and SencorpWhite has continues to increase R&D spending. The Minerva acquisition furthers our customer centric strategy, increases the software product breadth, and adds to the bench strength of high caliber development, implementation and service personnel.

When did SencorpWhite buy Minerva? / The deal closed in July, 2018. Press release issued Sept 1. See attached release.

How much did SencorpWhite pay to buy Minerva? / Terms of the deal are not being disclosed.

Will the name Minerva be kept? / Yes. The Minerva logo has been updated to include the term “A SencorpWhite Brand” The image appears at the top of this page and a high resolution copy is included with the press release.

What will happen to the current Minerva offices? / The Minerva office and customer support team will remain in San Diego.

Will there be employees who are not retained? / All Minerva employees will be retained. This is a growth play and the intention of SencorpWhite is to continue to invest in our customer centric software strategy in terms of both R&D and personnel.

What is changing? / In the short term, customers and employees should continue to expect the Minerva team to service them with a deeper bench and financial support of SencorpWhite. In the long term, Warehouse Librarian and AWL will be brought together to leverage the strengths of the different packages, accelerate SencorpWhite product development initiatives and deepen our 24x7 customer support capability.

How will this effect Intek? / Intek and Minerva will continue to go to market as separate brands with differing application suites. Both applications have enjoyed a 30 plus year track record of commercial success and delighted their customer install bases. While both Minerva and Intek offer WMS/WCS/WES capabilities, Minerva’s deep installed base of manufacturing and wholesale distribution customers is a perfect complement to Intek’s retail and ecommerce customers. Minerva also offers multi-lingual capabilities, an international client base and asset tracking and 3PL billing capabilities.
